How the process works
From first inquiry to close. Timing depends on financing and diligence.
Steps
| # | Step | What happens |
|---|---|---|
| 1 | Inquiry | You send a short note: who you are, and whether you already operate. |
| 2 | Screen | WBI confirms fit — operator experience, capital, and timeline. |
| 3 | NDA | Confidentiality before any detailed materials. |
| 4 | CIM | Confidential information memorandum and the financial package. |
| 5 | Call | Intro call, then an operations and equipment discussion. |
| 6 | LOI | Price, structure, financing, exclusivity, and timeline. |
| 7 | Diligence | Tax returns, equipment titles, vendors, and the transition plan. |
| 8 | Close | Definitive documents, funds, and training kickoff. |
Typical clock from a serious inquiry: often about 4–6 months end to end.
LOI to close is commonly 60–90 days when financing is clean.
What you’ll be asked for
- Who you are, and whether you already operate in paving or sealcoating
- Rough capital path — cash, SBA, bank, seller note, or a mix
- Target close window
- Proof of funds or a financing path later in the process, not on day one
What we will not do on a public page
- Publish tax returns, the customer list, or equipment VINs
- Promise SBA approval
- Publish a phone number or the seller’s home address
